Arteris reported higher licensing revenue and trailing royalties alongside stronger AI-related design activity, but not yet durable cash generation. Revenue increased 48% to $25.8 million, trailing-12-month variable royalties reached $9.4 million and remaining performance obligations rose 29% to $135.5 million. Yet free cash flow was negative $2.1 million, stock compensation equaled 35.6% of revenue, and the share count continued to expand. The quarter supports our $23 Base valuation but does not justify raising it.
Three findings
- Licensing and support grew 41%, variable royalties grew 52%, and ACV plus royalties reached a record $103.8 million. The demand signal improved across more than one revenue line.
- Full-year revenue guidance increased to $98.5–99.5 million, but unchanged free-cash-flow guidance of $5–9 million now requires $5.9–9.9 million of fourth-quarter free cash flow.
- Arteris raised approximately $72 million net through its at-the-market equity program. The cash cushion improved, but it came with 15.5% year-over-year growth in weighted-average shares.

Revenue growth was broad, but not purely organic
| Metric | Q3 2026 | Q3 2025 | Change |
|---|---|---|---|
| Revenue | $25.774m | $17.408m | +48% |
| Licensing and support | $22.368m | $15.896m | +41% |
| Variable royalties | $2.294m | $1.505m | +52% |
| Services and other | $1.112m | $0.007m | Primarily acquired Cycuity activity |
| GAAP gross margin | 86.6% | 89.9% | -330 basis points |
| GAAP operating loss | -$11.316m | -$8.714m | Loss widened |
| Non-GAAP operating loss | -$1.233m | -$3.541m | Loss narrowed |
The headline growth rate includes the acquired Cycuity business, particularly in services and government work. Excluding services and other, licensing plus royalty revenue still increased about 41.7%. That is a strong result, but Arteris does not separately disclose Cycuity’s contribution inside licensing. A precise organic-growth rate cannot be calculated from the filing.
The economic question is whether customer design starts move from license revenue into production royalties. Trailing-12-month variable royalties increased 71% to $9.4 million, while the company said cumulative confirmed design starts passed 1,000. That milestone is a useful leading indicator, not a backlog of booked royalty revenue. Production timing, end-product volume and customer success remain outside Arteris’s direct control.
RPO and ACV improved, with important definitions
| Demand indicator | Q3 2026 | How to read it |
|---|---|---|
| ACV + trailing-12-month royalties and other revenue | $103.8m | 39% YoY growth; an exit-rate KPI, not quarterly revenue |
| Remaining performance obligations | $135.5m | 29% YoY growth; includes cancelable and noncancelable amounts |
| Noncancelable unsatisfied obligations | $131.3m | $69.0m expected within 12 months |
| Cumulative confirmed design starts | More than 1,000 | Exact total and Q3 additions were not disclosed |
RPO was roughly flat sequentially despite strong year-over-year growth. Based on full-year 2025 cohort data in Arteris’s November presentation, 64% of designs had not reached mass production, which creates royalty upside but also makes the timing uncertain. The quarter therefore verifies customer activity more clearly than it verifies the pace of production conversion.
The fourth-quarter cash test became harder
Arteris raised full-year revenue guidance to $98.5–99.5 million from $95–98 million and guided Q4 revenue to $25.7–26.7 million. It also expects a Q4 non-GAAP operating result between a $0.9 million loss and a $1.1 million profit. At the midpoint, that is only about $0.1 million of non-GAAP operating profit.
Full-year free-cash-flow guidance remained $5–9 million. Because nine-month free cash flow was negative $0.868 million, Q4 must produce approximately $5.868–9.868 million. That is possible in a license business with uneven billing and collections, but it is now the cleanest near-term test of earnings quality.
| Liquidity and dilution | September 30, 2026 / latest disclosed |
|---|---|
| Cash | $71.014m |
| Short- and long-term investments | $49.283m |
| Total cash and investments | $120.297m |
| Vendor financing | $4.287m |
| Shares outstanding on October 29 | 49.735m |
| Q3 weighted-average shares | 49.384m, +15.5% YoY |
| Q3 stock compensation | $9.186m, 35.6% of revenue |
| Potential shares excluded from loss EPS | 6.133m |
The balance sheet is stronger, but operating performance did not create most of that improvement. Arteris completed its at-the-market program after selling 2.111 million shares at an average $35.53, generating about $75 million gross and $72 million net. The funding lowers near-term liquidity risk while shifting part of the cost to existing shareholders through dilution.
Stock compensation also explains much of the gap between the $11.3 million GAAP operating loss and the $1.2 million non-GAAP loss. Non-GAAP progress is real, but per-share economics require GAAP costs, future vesting and issuance to be monitored together.
AHNIM valuation: keep Bear $9, Base $23 and Bull $42
Our October 16 Arteris Company Research values the shares on FY2028 revenue, an EV/sales multiple, projected net cash and an economic share count. Q3 increases confidence in the revenue path, but the endpoints remain unchanged.
| Existing scenario | Target | Q3 evidence | Conclusion |
|---|---|---|---|
| Bear | $9 | Negative FCF, high SBC and continued dilution | Downside case still necessary |
| Base | $23 | Revenue and royalties improved; FY2026 midpoint is $99m | Operating assumptions strengthened, but Q4 cash test remains |
| Bull | $42 | 1,000+ starts and chiplet opportunity | Needs faster production conversion and durable profitability |
The existing Base assumes $120 million of FY2027 revenue and $150 million in FY2028, an 8× target-date EV/sales multiple, $110 million of net financial cash and 56 million economic shares. From the new $99 million FY2026 guidance midpoint, that requires about 21% growth in 2027 and another 25% in 2028. The demand indicators make that path more credible, but it is still a growth case rather than a conservative liquidation value.
A dated analyst comparison remains materially higher. The accessible seven-analyst S&P Global snapshot showed a $37.29 mean and a $25–$50 range, last updated September 21. Our $23 Base is 38.3% below that mean. The gap reflects our lower multiple and explicit dilution allowance. A later named action—TD Cowen maintaining Buy while cutting its target from $40 to $25 on October 19—was a pre-results change reported by secondary sources. We found no verified post-Q3 target change by the research cutoff.
What would change the valuation?
- Positive: Q4 free cash flow reaches the guidance range without a new equity raise, while licensing and royalties continue to expand.
- Positive: design-start cohorts move into production and royalty revenue grows consistently across several quarters.
- Negative: RPO and ACV stall, acquired revenue obscures weaker organic licensing, or the Q4 cash collection swing does not arrive.
- Negative: stock compensation and share issuance grow faster than the per-share cash contribution.
